Lawsuit filed by funeral home says former trustee, president bilked business out of big bucks

A civil lawsuit filed on behalf of Noble and Kelsey Funeral Home alleges that its former president and a removed trustee committed fraud and combined over a five-year period to drain the business of hundreds of thousands of dollars in assets.

Noble and Kelsey, located at 223 E. Fisher St., also charges in the lawsuit that former president and general manager Tommy H. Hairston was purposely damaging the business while pursuing the goal of opening his own funeral home on South Main Street.

The former trustee named in the suit is Kathy S. Hill, who allegedly received at least $179,750 in loans and $167,200 for "consulting" between 2003 and 2007. The total cash she received, including $10,000 Hill paid to herself in June 2007, was $346,950, according to the suit.

The Post reached both Hairston and Hill by telephone Monday, but they declined to comment.

Salisbury Police Chief Mark Wilhelm said last week that his department investigated the matters for possible criminal action but received an opinion from the state Attorney General's office that it should be civil litigation.

The civil suit further alleges that Hairston rang up personal charges on Noble and Kelsey's American Express credit card between June 2004 and June 2007 of $35,644.

The credit charges included Direct TV monthly service, numerous hotel stays, airline tickets, clothing, car work and other merchandise.

The suit says Hairston's annual wages and bonuses also increased substantially each fiscal year since 2002, when he was paid $81,472. His wages in subsequent years were $95,935 in 2003; $106,357 in 2004; $189,229 in 2005; $210,121 in 2006; and $132,885 for the months before he resigned in June 2007 and opened up his new funeral home.

The suit alleges that "Hairston applied the extensive salary and bonus proceeds ... to the establishment of Hairston Funeral Home Inc." It adds that Hairston, through "Zeke Properties, purchased the real estate that became his new funeral home while he was employed by Noble and Kelsey."

According to the suit, Hairston also actively worked to take clients away from Noble and Kelsey Funeral Home and, soon after his resignation, solicited pre-need contracts from his former employer.

In addition, the suit alleges that at some point in 2006, Hairston placed Hill and/or her son on the company's health insurance plan, even though Hill was not eligible to be on the funeral home's plan.

Clerk of Court Jeff Barger removed Hill as a trustee on Dec. 19, 2007.

Attorney Jon S. Overbey, of Hancock Nance Overbey, is representing Noble & Kelsey in the case.

Besides Hairston and Hill individually, Hairston Funeral Home and T.H. Hairston Inc., doing business as Zeke Properties, are listed as defendants.

Hill and Hairston live at separate Candlewick Drive addresses.

Central to the whole civil litigation is a trust set up by the will of the late A.R. Kelsey.

The trust holds 99 of 100 outstanding shares of stock of Noble and Kelsey Funeral Home. By its terms, the suit says, the trust was established to provide employment for Hairston, subject to his satisfactory performance, and ultimately the stock ownership would go to Kelsey's daughter, Kimberly D. Kelsey.

After the death of Kelsey, Winnell Short and Dr. George D. Hill became trustees of the trust. Short later resigned, making Hill the sole trustee. He died in 2002.

Kathy S. Hill, his widow, filed an application with the Rowan County Clerk of Court and sought to be named the successor trustee. She received the appointment.

The lawsuit says Hill had no special skill, ability or professional license qualifying her to supervise a funeral home's operations, nor any experience in hiring or supervising licensed professional personnel of a funeral home.

"The primary duty of the trustee ... was to employ and supervise Tommy Hairston as president of Noble and Kelsey Funeral Home Inc,"' the lawsuit says.

Hairston began signing checks made out to Hill for loans or "consulting" beginning Feb. 24, 2003, the suit says. Likewise, wages and bonuses paid to Hairston began to escalate, it contends.

During 2006, the suit alleges, Hill became aware that Hairston was making plans to establish his own funeral home.

"Kathy Hill knew or should reasonably have known that Mr. Hairston's actions to establish his own funeral home would be likely to have an adverse effect on the business operations of Noble and Kelsey Funeral Home Inc.

"Kathy Hill took no steps to remove Mr. Hairston or otherwise take any actions to establish a plan of management succession for the funeral home despite her knowledge of Mr. Hairston's stated intentions to establish his own competing business."

The suit also charges that Hairston should have known Hill was not entitled to any payments for consulting, loans or bonuses and that he was "grossly negligent" in disbursing the funeral home's assets without documentation, terms of repayment or setting any kind of interest rate.

The suit says that Hairston's and Hill's actions were "willful and wanton and designed to place the funeral home in a precarious financial condition at the time when Hairston opened his competing business."

In addition, the suit alleges, Hill never obtained a tax identification number for the trust nor filed trust tax returns with the Internal Revenue Service. It also says she failed to obtain a fidelity bond to protect the trust, was consistently late in making annual reports to the clerk of court and failed to call meetings of the directors of Noble and Kelsey Funeral Home.

In the fall of 2004, Kimberly Kelsey, who continually made inquiries into the profitability of Noble and Kelsey Funeral Home, petitioned the court to have an additional trustee appointed to serve with Hill.

She asked the court to appoint Dennis Issacson, a certified public accountant, who was opposed by both Hill and Hairston.

A first hearing was held before Barger, the clerk of court, in April 2005. It ended with Barger's asking Hairston and Hill to provide other trustee nominations and taking the matter under advisement. A ruling on Kelsey's petition was not made until June 27, 2007, when Barger appointed Issacson as co-trustee and directed him to review the trust's operations.

Based on Issacson's research, Barger found that Hill failed to carry out her duties as a trustee and followed conduct "to improperly enrich herself at the expense of the trust, the beneficiaries of the trust and the corporation of which the trust held 99 percent ownership."

Barger permanently suspended Hill as a trustee Dec. 19, 2007.

T.H. Hairston Inc., was formed Dec. 23, 2004, according to articles of incorporation filed with the N.C. Secretary of State. A 2005 annual business corporation report for T.H. Hairston Inc. was signed by Tommy H. Hairston as president and stated that the Hairston Inc. was "a funeral home business."

Hairston was president and general manager of Noble and Kelsey Funeral Inc. at the time he formed T.H. Hairston Inc, the suit says.

In June 2007, when Hairston left, Noble and Kelsey had less than $26,000 in its general operating account, the suit says.

Tommy Hairston is a well respected, humble, and professional individual and we as a people should be ashamed of ourselves trying to bring each other down just because one becomes successful, we should be proud of Tommy's accomplishments. Making over $100 in the funeral business with Nobel and Kelsey is just. Mr. Haiston had been working at the funeral home since he was very young and to only be making $80,000 I say he was the victim. Nobel and Kelsey will always be respected as a family funeral home, I can't believe they would allow the enemy to cause envy and jealousy of another man's success and try to bring Mr. Hairston down. If they want more business, come up with a strategy, create milestones, market yourself, invest in remodeling the facility so that you can attract customers. Don't blame short falls on Tommy Hairston just because his business is booming. If you put the plow to the field, your season will surely come.

No criminal charges. How are people stealing money but also going by the book? From what I know the funeral home has been run the same way for years, and the only reason an issue has surfaced is due to the new president aiming to gain leverage in a very competitive funeral home market. The new president was granted her position from the former trustee, and in turn the new president seeks to undermine Hairston's Funeral Home. I sense devious motives being the ruse, and as expected the majority of the people can only see the surface.

It is a shame that all of this activity has taken place. Mr. Kelsey was a good and loyal may to the community and to his business. Mr. Kelsey took Tommy under his wings and thought of him as a son. When you talk to some, they would tell you that he treated him better than he did his own children, Kevin and Kim. How could Tommy betray Mr. Kelsey's trust and legacy, but most of all his LOVE for him. Mr. Kelsey provided Tommy with a lifetime job and for him to run the business in the ground financially as he has done, how can he live with himself. He is telling people in the community that he has done nothing wrong and that he was in his legal right. Mr. Kelsey must be turning over in his grave, because I am sure that he never put his funeral home into financial jeopardy as Tommy has done. Mr. Kelsey's daughter Kim has returned and things seem to be moving right along and I wish her and the entire staff of Noble and Kelsey Funeral Home the very best. My family has always used Noble and Kelsey and we shall continue to do so. May justice prevail............

Where there is smoke there is fire. Lets see, Mr Hairston received a 78% salary increase in 2005, an 11% increase in 2006, and based on YTD for 2007 thru May of $132,885 the yearly salary for 2007 would have been $318,924 equaling an 52% increase in 2007. Who would leave a job paying $318,924 a year??? Especially with more of these types of salary increases possibly to come in the future??? Mrs Hill received $346,950 over a 5 year period equaling $69,000 per year. Pretty good for never doing her job. All these monies paid out for doing such a great job running such a profitable business that had only $26,000 when they left. Great job! The company profitability was obviously not the judge of salary increases. These two only cared about themselves. The real victims here are the clients of Noble & Kelsey over the last 4 years who thought Mr Hairston cared about them when his final thoughts at the end of every day were on how much money he could make for himself to promote his own personal goals. These charges do not surprise me. I am just glad Noble and Kelsey had the courage to proceed to do what is right. Good Luck to you. All parties are innocent until proven guilty. Which will just be a matter of time and the law.

I am a Rowan County native and was very disappointed when I received the news about the conflict between Noble and Kelsey funeral home and Mr. Hairston. I agree with the others that we should not be quick to make a decision about a matter without ALL of the facts. The matter is very complex. Mr. Hairston is entitled to have his own funeral business. He seems to be a wonderful man and is out front at every service I have attended. However, it seems that Mr. Hairston should have resigned from Noble and Kelsey in a substantial amount of time prior to FORMING his own business. This would have been the ethical thing to do. We must keep from the very appearance of evil. He should have known that it was going to LOOK as though he used the resources of Noble and Kelsey to benefit his new company. As trustee, Mrs. Hill should have put a plan in action for a successor upon finding out about his plans. In the end, it's up to the people to decide who they will turn to in their time of need. Some might say, "Where is Noble and Kelsey without Tommy Hairston"? But the company must work hard and implement the fundamental principles Mr. Kelsey did years ago along with new ideas in order to remain competitive keep the fine reputation it has always had.

I think this is an unfortunate situation because a lot has been written about Mr. Hairston and Mrs. Hill without us hearing what they have to say. I've known Tommy Hairston and Kim Kelsey for along time and I think they are wonderful people. They both have provided professional care and services to the families that have come to them in their time of need. I don't have any doubt that some of this information is accurate, however until all of the details of the case have been explained and exposed, its important for us to not be quick to say anything that could be harmful to all parties involved. I recall just a few months ago the Salisbury Post wrote a two page article that I feel defamed and slandered Mr. (Rev) Henley of the ARISE Structured program and the New Beginning Community Christian Church. I volunteered some of my time to assist the program because I saw the need to help the children. I volunteered on a weekly basis so I saw at least 15 or so children there everyday. When I read the news article it said that the program only had 3 children, this is far from the truth. I also overheard the staff members talking about their checks being delayed by the Governor's office and they didn't know when they were going to get paid but the next day when I arrived I heard that Mr. Henley had taken his own money and loaned it The ARISE program so that they could get paid. From talking to most of them, Mr. Henley had done this before and sometime he didn't get paid himself until he made sure that his staff was paid. The Post sometime writes a story just to sell papers. The story about Mr. Hairston and Mrs. Hill is a good story, it sells papers but all of the details have not been disclosed. Just as all the details had not been disclosed about ARISE. The news article never mentioned anything positive about the ARISE Program and the good work they were doing in the community. The news article never mentioned that Mr. Henley worked extremely hard to keep the much needed program going by making personal loans to the ARISE program. We later found out that Mr. Henley nor his wife had done anything unethical or illegal; we later found out that he and his wife had actually loaned the program several thousands of dollars of their own money just to keep the program going. So, just because we read something in the Salisbury Post doesn't always mean its factual or accurate. Let's not be to quick to injury Mr. Hairston or Mrs. Hill by our negative comments. I believe that the truth always prevails.

Mr. Hairston has an excellent reputation. I do not feel that the entire story is being told here. Mr. Hairston has always conducted himself in a professional and unimpeachable manner. I know for a fact that he is an honest individual that has done all he could possibly do to help people during their time of sorrow. Most people in the community know or have known Mr. Hairston as good or better than they knew the owners of Noble and Kelsey. They trusted him and knew that he could carry out the good deeds and continue the fine reputation that they started. With all of the experience he has in this field, it would only be natural that he would want to own his own Funeral Business. With his expertise and the care he has shown others, it is only natural that previous customers of Noble and Kelsey would look to him for direction. For many people, Mr. Hairston is the only person they know at Noble and Kelsey. That is not his fault. At any funeral or wake I attended conducted by Noble and Kelsey, it was Mr. Hairston that I saw standing with the family, expressing sympathies, helping people to find money to help bury a loved one that may not have been insured or underinsured. Mr. Hairston genuinely cared about the people he serves and it shows. At one time, I thought he was the son of one of the owners due to his obvious committment to do the right thing. It is his wonderful reputation that has caused families to dissent from Noble and Kelsey and patronise his establishment instead. I do not believe that he has taken anything that he was not entitled to. When my family needs the services of a funeral director, I will look to Mr. Hairston for assistance and guidance. His reputation proves he is qualified for the job.
